Terms of service

These terms govern the website at tablepro.app, the account portal, our license server, the Team Library, and the paid Licenses and License Keys described below. By using them, or by buying or activating a License, you agree to these terms. TablePro for Mac and TablePro for iPhone and iPad are licensed under the AGPLv3 alone: you do not need to accept these terms to download, install or run them.

Definitions

• "TablePro", "we", "us" and "our" mean Ngo Quoc Dat, an individual developer based in Ho Chi Minh City, Vietnam, who publishes TablePro.
• "Application" means TablePro for Mac and TablePro for iPhone and iPad, including their updates and plugins.
• "Website" means tablepro.app, docs.tablepro.app and the other domains we operate.
• "Services" means the Website, the account portal, and the server the Mac app contacts for license checks and the Team Library.
• "License" means a paid Pro or Team plan, and "License Key" the credential that activates its features in the Mac app.
• "You" means the person or organization using the Services or holding a License.

Open-source license

The Application's source code, including the code of the paid features, is published under the GNU Affero General Public License v3 (AGPLv3). The AGPLv3, not these terms, is your license to use, modify and distribute the Application.

The AGPL places no conditions on running TablePro, in a company of any size. Its conditions apply when you give copies to others, modified or not, and when you modify TablePro and let other people use your modified version over a network. Nothing in these terms limits the rights the AGPLv3 gives you.

The Mac app is free to download and use without registering. A License adds optional features to the Mac app. The iPhone and iPad app is free, with no in-app purchases.

Trademarks

TablePro™, the TablePro logo and the TablePro app icon are trademarks of Ngo Quoc Dat. These terms and the AGPLv3 give you no right to use them. The brand guidelines say how you may use them. Other product names and logos on the Website belong to their owners.

Buying a license

#

Licenses are sold by Polar (Polar Software, Inc.), our merchant of record and reseller. You buy a License from Polar, under Polar's buyer terms, and TablePro grants you the right to use it under these terms. Polar takes the payment, calculates and pays any sales tax or VAT, and sends receipts and invoices. Prices are in US dollars and are listed on the pricing page.

Monthly and yearly plans renew automatically until you cancel them. You can cancel in the account portal or in Polar's customer portal; a cancelled plan is not charged again and keeps working until the end of the period you paid for. A one-time purchase is paid once and has no expiry date.

Refunds are described in the refund policy.

Using a license

#

A License gives you a non-exclusive, non-transferable right to activate the paid features of the Mac app with its License Key, on the number of Macs, and for the period, of your plan:

• A Pro License is for one person, on up to 3 Macs.
• A Team License is priced per seat, with at least 2 and at most 200 seats. Each seat is one activated Mac. The buyer invites team members, who join with an invitation code.

You may not share a License Key beyond the people and Macs your plan covers, or sublicense, sell, rent or otherwise transfer it, without our written permission.

The Mac app checks your License with our server every 7 days. If our server cannot be reached, the paid features keep working for 30 days after the last successful check. When a monthly or yearly plan ends, its features stop working and the rest of the Mac app keeps working.

Account portal

You manage your Licenses in the account portal, which you sign in to with a link sent to the email address you bought with. Keep that email account secure: we are not responsible for access to your account through a compromised email account.

Acceptable use

You agree not to:

• use the Services in violation of any law or anyone's rights;
• misuse our license server;
• try to gain unauthorized access to our systems or to other people's accounts;
• use the Services to spread malware or to carry out denial-of-service attacks;
• resell or redistribute License Keys without our written permission.

Your responsibilities

#

You are responsible for:

• keeping your License Keys secure;
• following the laws that apply to your use of the Services.

The Application acts on your databases at your direction. What it does to them is covered by the AGPLv3, not by these terms: see Disclaimer of warranties and Limitation of liability.

Disclaimer of warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY OR UNINTERRUPTED OPERATION.

The Application comes with the disclaimer of warranty in section 15 of the AGPLv3: it is provided "as is", without warranty of any kind, and the entire risk as to its quality and performance is with you. We do not warrant that it will meet your requirements, work with any particular database version, or operate without errors, or that any error will be corrected.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TABLEPRO AND ITS CONTRIBUTORS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF DATABASE CONTENTS, DATA CORRUPTION, LOSS OF PROFITS OR BUSINESS, BUSINESS INTERRUPTION, LOSS OF GOODWILL, OR THE COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR A LICENSE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

For the Application, section 16 of the AGPLv3 applies: unless applicable law requires otherwise, no copyright holder, and no one who modifies or conveys it as the AGPLv3 permits, is liable to you for damages arising from its use or from being unable to use it, including loss of data or data being rendered inaccurate.

Where liability cannot be excluded under applicable law, our total liability for all claims arising out of or related to the Services and Licenses is limited to the greater of (a) ten US dollars or (b) the total amount you paid for TablePro Licenses during the twelve months before the event that gave rise to the claim.

Some jurisdictions do not allow certain damages to be excluded or limited. There, our liability is limited to the smallest extent the law permits.

Indemnification

You agree to indemnify and hold harmless TablePro and its contributors against any claim, demand, loss or damage, including reasonable legal fees, arising out of your use of the Services or a License in breach of these terms or of anyone's rights.

Support

#

Team Licenses include priority support: emails from Team customers are answered first, within one business day. For other plans and the free apps, support by email to [email protected] is offered without a set response time. Bug reports are welcome on GitHub.

Updates and availability

#

We release updates, fixes and new features at our discretion. Apart from the priority support above, we have no obligation to maintain, update or provide support for any version of the Application, and older versions may stop receiving security fixes.

Some Services, such as license checks and the Team Library, need network access. We do not guarantee that they are always available, and we may discontinue them with reasonable notice. The paid features of the Mac app need our license server: if it cannot be reached, they keep working for 30 days after the last successful check.

Termination

You may stop using the Services at any time. If you breach these terms, including the acceptable-use section, we may suspend or end your access to the paid features without a refund.

The sections that by their nature survive termination, including the disclaimer of warranties, the limitation of liability, indemnification and governing law, continue to apply after it.

Privacy

#

How we handle personal data is described in the privacy policy.

Changes to these terms

#

We may update these terms. When we do, we post the new version here with a new "Last updated" date. If you keep using the Services or a License after an update, you accept the new terms.

Governing law and disputes

#

These terms are governed by the laws of the Socialist Republic of Vietnam, without regard to conflict-of-law rules, and any dispute arising out of them or out of your use of the Services or a License is resolved by the competent courts of Vietnam. Your purchase from Polar is governed by Polar's buyer terms.

If you live in a jurisdiction with mandatory consumer protection laws, those laws apply to the extent they cannot be waived.

Severability

#

If a court of competent jurisdiction finds any provision of these terms invalid or unenforceable, the remaining provisions stay in full force.

Entire agreement

#

These terms, together with the privacy policy and the refund policy, are the entire agreement between you and TablePro about the Services and Licenses, and replace any earlier agreement. The Application is licensed to you under the AGPLv3. Your purchase is also governed by Polar's buyer terms, and your use of the App Store by Apple's terms.
